Wikborg Rein's Banking and Finance group has Norway's largest banks and financial institutions as its clients in addition to a variety of small and medium sized entities. The Norwegian financial market has undergone substantial changes in recent years with major mergers, acquisitions, and restructurings taking place. Our firm has been involved in nearly all of these transactions.
The Group provides support and legal advice on all aspects of the various business lines of its financial services clients. In compiling the team of lawyers we have recruited experienced lawyers from the civil service with detailed knowledge of the regulatory framework governing the financial services sector in Norway. Our banking and finance lawyers have many years of experience in documenting debt finance transactions and in advising banks on alternative ways of structuring debt financing deals. The firm acts for Norwegian and foreign banks and has assisted in a number of large, high profile, debt financing transactions in Norway. These have included ship finance transactions, corporate loan transactions, structured and project financing, and acquisition financing. We offer a particular expertise in cross-border transactions, with our clients benefiting from the expertise and efficiencies gained from close co-operation between our offices in Norway and abroad.
Our assistance includes:
- advice on the regulatory framework governing the financial services business in Norway, including the applicable rules and regulations for establishing, acquiring, merging or restructuring financial services providers;
- newbuildings and second-hand vessels), FPSOs and offshore installations, aircraft, real estate and other fixed assets;
- preparation of loan and security documents for project financing and structured financing transactions;
- preparation of loan and security documents for the financing of acquisitions of Norwegian and non-Norwegian companies;
- documentation of guarantee facilities;
- documentation of leasing facilities for a wide variety of assets;
- advice to work-out groups involved in the handling of bad debt or exposed debt portfolios, including advice on insolvency and bankruptcy laws and proceedings.
