Hedvig is widely regarded as a leading Norwegian corporate law expert. She holds a Ph.D. in company law from the University of Oslo Faculty of Law and heads both the firm’s corporate law group and the Norwegian Bar Association’s Legislative Committee for Company Law. Hedvig advises clients from diverse sectors on all aspects of M&A and capital markets transactions, from structuring and negotiations to post-closing matters, such as governance structures and drafting of key corporate documents. She also regularly acts as counsel in disputes involving limited liability companies—including shareholder disputes, investigations, and director liability cases. She is a trusted adviser to companies—including management, boards, and in-house counsel—on a wide range of corporate governance matters. Hedvig provides tailored advice on the establishment and update of governance frameworks, group structures, related party transactions, board and committee work, conflict of interest issues, shareholder engagement, compensation and incentive programs, and ESG/sustainability questions. She combines deep legal knowledge with extensive practical experience across Norwegian and European jurisdictions. Hedvig has advised several government ministries, including the Ministry of Trade, Industry and Fisheries, and companies with state ownership, often dealing with constitutional and parliamentary considerations. She ensures she stays updated on relevant state ownership principles and has contributed to legislative processes—including participation in the committee evaluating the new Associations Act. She is a sought-after lecturer and speaker for the Norwegian Bar Association, the Continuing Legal Education Institute, and the Scandinavian Executive Institute/INSEAD. She frequently provides training and updates for clients on all aspects of company law, including the non-statutory Norwegian law of associations.
